RWP Ventures LLC · Virginia, USA

End User License Agreement

Effective October 24, 2026

1. Agreement and operator

This End User License Agreement governs access to Groundwork Facilities, operated by RWP Ventures LLC in Virginia, USA. By creating an account or using the service after being presented with this agreement, you agree to these terms. If acting for a business, you represent that you have authority to bind it. If you do not agree, do not use the service.

2. License and permitted use

Subject to these terms and any separately agreed subscription or order, we grant your business a limited, non-exclusive, non-transferable license to access the service for its internal field-service and property operations. Authorized team members may use the features available to their assigned roles. The software and branding remain ours or our licensors’; your business records remain yours.

Do not bypass permissions, access another business’s records, share credentials, disrupt the service, introduce malicious code, infringe others’ rights, or use it unlawfully. Do not reverse-engineer the service except to the extent applicable law permits.

3. Accounts and business responsibilities

You are responsible for accurate account details, protecting sign-in credentials, selecting appropriate team permissions, and removing access when staff leave. You must have a lawful basis and any required notices or permissions to upload customer, staff or other personal information. Do not upload payment-card credentials, bank-login credentials, government identification numbers or other sensitive information the service does not require.

You remain responsible for quotes, schedules, work, tax treatment and accounting decisions. Review imported data, totals and conflicts before relying on them; the service is not legal, tax, financial or accounting advice.

4. QuickBooks is inbound and read-only

Connecting QuickBooks authorizes Groundwork Facilities to read customer names, addresses, phone numbers, email addresses, estimates, invoices, payments and the identifiers needed to link those records. Supporting record dates, statuses, transaction amounts, line items and synchronization metadata are used to display and reconcile these records. We do not import unrelated accounting entities or customer private notes.

The integration does not create, edit, delete or send records in QuickBooks. Changes made in Groundwork stay in Groundwork. Intuit’s accounting authorization can technically permit more than read access; the application restricts its accounting requests to permitted read queries. OAuth authorization and token renewal are necessary connection operations, not accounting-record writes.

Authorized managers initiate customer imports and can disconnect from the import screen. Connected financial records are read on the scheduled hourly sync or a manual sync, subject to provider availability. QuickBooks is authoritative for imported QuickBooks-linked financial values; local-only data is preserved where supported. Imported records remain locally after disconnect, while stored connection tokens are removed and further scheduled reads stop. Intuit’s own terms also apply.

5. Data and service providers

You retain rights in your business data. You authorize us and our service providers to process it as needed to host, secure, support and deliver the service and integrations you choose. Our Privacy Policy describes the information involved, access controls and privacy requests. This agreement does not transfer ownership of your customer records to us.

Available table exports are not a complete backup of every account record. Keep appropriate independent business records and contact us before closing an account if you need assistance with export or deletion.

6. Fees and third-party services

Subscription pricing, payment timing, cancellation and any service commitments are governed by the order or subscription terms actually agreed with your business. This agreement does not itself authorize a charge or promise a trial, refund or service level. Third-party services can impose their own terms, fees, limits or outages; a connection does not guarantee uninterrupted synchronization.

7. Availability and disclaimers

We may maintain, change or temporarily suspend features, including to protect data or comply with law. Except for commitments separately agreed in writing and rights that cannot lawfully be excluded, the service is provided as available, without a guarantee of uninterrupted operation, perfect import accuracy or fitness for a particular purpose. No system can eliminate every security risk.

8. Liability

To the extent permitted by applicable law, neither party is liable to the other under this agreement for indirect, special or consequential losses, including lost profits, arising from use or inability to use the service. This does not exclude liability that law does not permit to be excluded, nor relieve either party of its legal data-protection obligations. Any additional liability limits must be agreed separately in writing.

9. Suspension, termination and records

You may stop using the service and request account closure through info@rwp-ventures.com. We may suspend access for a material violation, security risk or legal requirement. Where practicable, we will explain the reason and allow an opportunity to address it. Suspension or disconnection is not automatic deletion of business records.

Requests for access, export or deletion require verification and may depend on the business administrator’s authority, legal retention requirements and provider backup lifecycles. There is no automatic account-deletion timer represented by this agreement.

10. Changes, governing law and contact

We identify each revision by its effective date and content-based version. Each user must explicitly accept the current EULA and Privacy Policy before accessing the application, including renewed acceptance whenever either document changes. We retain the accepted document version, document text and acceptance timestamp for that user. Material changes require appropriate notice; they do not retroactively alter an existing written order. The laws of Virginia, USA govern this agreement except where mandatory applicable law requires otherwise. There is no mandatory arbitration or class-action waiver in this agreement.
